George is a highly experienced international corporate and projects lawyer, specialising in transactional and advisory work in the energy and infrastructure sectors. Prior to moving into private practice as a partner in three leading international law firms, George spent several years as an in-house lawyer at a leading global oilfield services company and then on secondment at an oil major. As well as London, George has lived and worked out of the Middle East for many years.

George regularly acts for multinational corporates, governments, junior energy companies and startups on domestic and cross-border matters, including joint ventures, business and share sales, farm-ins, refining, processing, and transporting agreements, energy and commodity purchase and offtake agreements, shareholder agreements and the full suite of commercial contracts.

As well as the UK, much of George’s work involves supporting clients in Africa, Asia, South America, Central Europe, and the Middle East.

During the course of his career, George has assisted his clients to successfully conclude transactions in some of the most challenging jurisdictions globally, supporting clients on complex transactions in a highly diverse range of countries, cultures, and political and legislative environments.

George advises on high-value corporate deals, including mergers and acquisitions, cross-border transactions, joint ventures, and strategic partnerships. 

Experience

  • Advised an Asian state oil company on its over one billion USD$ investment in an Arctic LNG project and on the associated LNG SPA. 
  • Advised a UK company on its acquisition of a 50% interest in a UK LNG terminal including sale and purchase agreement, shareholders’ agreement, and tolling agreements. 
  • Advised a UK consortium bidding to acquire two oil major subsidiaries in an auction process re African assets.  
  • Advised the European seller on the sale of two energy companies in North Africa. 
  • Advised the sellers of an English energy company with South American assets to a UK listed buyer.  
  • Advised a UK oil company on its corporate restructuring and refinancing. 
  • Advised a junior UK oil company on the farming-out of an upstream oil asset. 
  • Acted for a European company in the sale of its interest in an Indian oil field to an Indian state oil company.  
  • Acted for a UK PLC in the sale of its 100% interest in a South American oil field to another UK PLC.  
  • Advised a fintech company on a debt-equity swap transaction with a third-party debtor. 
  • Advised a software consultancy on UK corporate group reorganisation.  
  • Advised a UK company on the restructuring of its balance sheet including negotiations with bond holders and trade creditors and the documenting of the revised agreed terms. 
  • Advised a US acquirer of a UK metal foundry.  
  • Advised a French water and energy company on its successful bid to acquire a large UK utilities business.  

George guides boards, investors and executives on compliance, anti-bribery and corruption, export control and sanctions issues globally.

Experience

  • Assisting various international an energy companies in relation to all aspects of compliance, counterparty due diligence, sanctions and export control, and anti-bribery and corruption for proposed market entry or transactions in a wide range of Middle Eastern, European, African and Asian jurisdictions. 
  • Drafting compliance policies and providing compliance training and screening to a range of entities operating in the manufacturing and energy sectors. 

George is a corporate and projects lawyer who has extensive experience working on oil and gas LNG, renewable energy, and major infrastructure developments in the Middle East, Africa, South America, Europe and Asia acting for multinational corporates, governments, junior energy companies and start-ups. 

Experience

  • Advised Reliance Industries Limited on the development of its KGD6 gas field, located off the East Coast of India. 
  • Advised BP and Basra Oil Company on a significant proposed infrastructure project in relation to the development of the Rumaila oil field in Iraq. 
  • Advised Lukoil on the development of the West Qurna 2 oil field in Iraq. 
  • Advised CNOOC on a range of issues in its capacity of operator of the Missan Oil Fields Iraq. 
  • Advised Abu Dhabi National Oil Company (ADNOC) on its development of the Shah sour gas field in Abu Dhabi. 
  • Advised/supervised advice to a UK-based oilfield drilling equipment supplier on the full range of legal issues including disputes (domestic and overseas), negotiation of supply and services contracts, procurement contracts, ABC and sanctions monitoring and due diligence, data privacy, employment, joint venture/collaboration agreements, and drafting and updating various standard terms documents. 
  • In conjunction with an energy consultancy, advised a North African national oil company/government on the tendering process and documents to bring to market a new oil and gas appraisal and production opportunity. 
  • Advised a Gulf-based company on the commercialisation of its gas reserves in Kurdistan including various gas supply agreements and infrastructure-related agreements. 
  • Advised a UK-based oil company on its investment into certain upstream gas assets in Cuba. 
  • Advised a client on its divestment of upstream assets in Myanmar.  
  • Acted for an Asian national oil company on its bid to sell gas to a Middle-Eastern governmental entity through regasification of LNG via an FSRU. 
  • Advised an international oil major on the drafting and negotiation of a tariff and transportation agreement in respect of a cross-border crude oil pipeline in Africa. 
  • Advised the UK/Middle East-based oil client company on the termination of a multi-million USD construction contract with a Korean contractor in the Middle East. 
  • Advised a Middle East-based oil field operator on the negotiation of a range of construction, operation and management contracts for the development of critical water treatment ad power supply infrastructure. 
  • Acted for a European/Asian entity on its bid to own and operate three FSRU projects in Africa including LNG and Regas supply arrangements. 
  • Advised a UK/Middle East-based oil client company on the settlement of claims against a UK contractor (in administration). 
  • Advised a US oil company and UK oil company in dispute with two grantors of a production royalty in relation to calculation and payment of royalty due. 
  • Advised a European client on an ongoing dispute with partners, government and provincial authorities in relation to an upstream asset in Iraq. 
  • Acted for a European utility in relation to their successful bid for a Gulf-based independent conventional power project including power purchase agreement, gas supply, connection agreement, shareholders’ agreement, and land lease. 
  • Advised a UK power developer in relation to the development of a solar farm in Kurdistan Iraq on a privately financed basis. 
  • Advised a UK-based power developer on its successful bids to develop three conventional power projects on a limited recourse finance structure in East Africa. 
  • Acted for a UK power developer on the development of solar parks on a privately financed basis in Botswana, Namibia and Mozambique (2 projects). 
  • Acted for the co-developer in relation to the development of a captive conventional power plant in Sohar Oman including fuel supply agreement, shareholders’ agreement, connection agreement, and land lease.
