Rupert has a broad commercial advisory practice centred on commercial contracts and the management and exploitation of intangible assets. This work includes advising on matters relating to distribution and logistics, regulated and non-regulated outsourcing, data privacy, IT and cybersecurity as well as matters relating to day-to-day operations and issues across a wide variety of industries and sectors. He also acts on such matters in a transactional context, both domestic and international.

Clients for whom he has worked operate in fields as diverse as professional practices, PE houses, retail and wholesale manufacturers, financial institutions, FMCG, start-up technology, hotels and leisure, and advertising and media agencies.

Rupert is a French speaker.

Rupert advises on commercial arrangements and contracts, including supply, MSA, sponsorship, R&D, and service agreements, across a variety of sectors and industries, with significant cross-border experience.

  • Advised Anochrome Group, a leader in the provision of industrial coatings, on its supply arrangements with customers globally.
  • Advised Sparx Communications (t/a/ Aspectus) on their global terms and conditions for PR and communications services.
  • Advised AmorePacific UK on commercial arrangements for the supply of cosmetic products into the EU.
  • Advised Born Social on service arrangements and MSAs in relation to social media agencies services.
  • Advised QCS, a provider of online compliance support to care homes and care operators on their contracts as well as suppliers.
  • Acted for Ludo Group in relation to the acquisition of specific assets as part of premises acquisitions;
  • Advised Spear & Jackson group, the well-known manufacturer of garden tools and specialist measuring instruments, on a range of supply and distribution, as well as licensing arrangements.

Rupert acts on complex outsourcing arrangements, including logistics, distribution, and back- and middle-office functions, for clients in financial services, media, retail, and healthcare, with deep experience in multi-jurisdictional deals.

Experience

  • Advised Universal Music on warehousing and distribution of UK and EU physical music media.
  • Advised Conde Nast on its publishing arrangements in Russia, including shareholder and licensing arrangements.
  • Advised Tobacco Dock Limited on the outsourcing of its property management functions to Newmark.
  • Acted for Suffolk Building Society in relation to the outsourcing of its IT functionality.
  • Advised Neptune Oil & Gas on its outsourcing of IT functions to multiple providers.
  • Advised Gigi & Olive, an online bridal accessories store, on the outsourcing of its logistics functions.
  • Advised Artorius Wealth Management on the outsourcing of their back- and middle-office functions to Pershing.
  • Advised Waverton Investment Management on the outsourcing of functions to SEI.

Rupert advises on GDPR compliance, risk management, and breach response for financial institutions, corporates, and international clients, with experience leading implementation programmes and supporting in-house functions across multiple sectors.

  • Advised owners of The Old War Office Hotel on GDPR compliance matters.
  • Advised on the GDPR compliance issues arising from the launch of an interactive  football skills training website for children.
  • Acted for CyberSmart Limited in relation to UK data privacy matters relating to cybersecurity.
  • Acted for Portsmouth Historic Quarter Trust in relation to subject access request issues.
  • Acted for NotontheHighStreet.com on ROPA, impact assessment, data retention, DSAR, and other privacy issues.
  • Advised Curate Health on data privacy matters relating to the dispense of medicinal products.

Rupert acts on brand licensing, marketing campaigns, and data commercialisation, with deep experience supporting high-profile clients across sectors including hospitality, retail, media, and consumer goods on strategic IP matters.

  • Advised on Spear & Jackson’s brand licensing programme.
  • Advised Conde Nast on IP matters relating to the sale of their educational business in the UK and Spain.
  • Advised Curate Health on the ownership of IP rights within its medicinal dispense business.
  • Acted on the acquisition of IP rights out of administration relating to Wasps RFC.
  • Acted for CFS Aeroproducts on the identification and management of intellectual property rights in the delivery of new development services to the MOD.
  • Advised Wallbed Systems on the management of its intellectual property in bespoke wallbed designs.
  • Provided IP advice in the context of licensing programmes for IPR Global Limited.

Rupert advises on contracts for the exploitation of technology, whether licensing, SaaS, acquisition, or (agile) development across a wide spectrum of sectors.

Experience

  • Advised Curve Royalty in relation to its SaaS contracting with customers in the music industry.
  • Advised CyberSmart Limited on its provision of online cybersecurity services, both through SaaS, partnership and distribution arrangements.
  • Acted on the sale of Original Digital, a tech start-up in the pharmaceutical sector.
  • Advised QCS, a provider of compliance services to the care home sector, on SaaS licensing as well as the management of service outage and redundancy issues.
  • Acted for Syslink, the provider of SAP integration services in relation to its technology licensing programme.

Rupert has a commercial advisory practice with a particular focus on management, franchising, and concession contracts, as well as the implications of privacy in the sector.

Experience

  • Advised The Chiltern Firehouse on data privacy matters.
  • Acted for IHG on the provision of an EU-wide franchising compliance programme
  • Advised Coroin on the re-organisation of intra-group management arrangements for Claridge’s, The Connaught, and The Berkeley.
  • Advised Scandic on the development agreement for Jamie’s Italian in the Nordics, and subsequent termination and also advised them on the acquisition of a hotel portfolio operated by IHG.
  • Managed numerous issues arising between Robin Birley and Richard Caring in the context of 5 Hertford Street private members’ club.
  • Advised on asset management and advisory arrangements for EQ Hotels.
  • Advised Lulu/Great Scotland Yard Hotel on their development and management agreement with Hyatt.
  • Advised Arora on multiple management and operations agreements.
