Lucy is a commercial lawyer who advises businesses of all sizes on domestic and international contracts across a wide range of sectors, including manufacturing, logistics and fulfilment, healthcare and life sciences, real estate, hotels, technology, and green energy. 

Lucy’s work ranges from day-to-day contracting advice through to business-critical projects, M&A, complex outsourcing agreements, cross-border transactions, international supply chains, business transformation, and high-value procurement. 

As part of her work on commercial contracts, she advises on confidentiality, data protection, intellectual property, and compliance issues. 

Expertise

Lucy advises on a wide range of day-to-day commercial contracts including supply agreements, procurement contracts, asset purchasing agreements, services agreements / master services agreements, contractual joint ventures, collaboration agreements, equipment leases, subcontracting arrangements, product development agreements, IT services agreements, SAAS contracts, and reseller agreements. She also advises on complex outsourcing arrangements across a wide range of sectors, and highvalue cap-ex projects involving installation, testing, and commissioning.   

Experience

  • Advised the UK government on an outsourcing project worth £800+ million over 3 years. 
  • Advised on the offshoring of as key service within the UK banking industry. 
  • Advised a UK automotive business on an outsourcing arrangement for its parts supply and stores management. 
  • Drafted and negotiated a 20-year outsourcing agreement for product handling, storage, and logistics services. 
  • Advised a British clothing retailer on its wholesale terms of supply. 
  • Negotiated a high-value supply arrangement between a makeup brand and a major UK department store. 
  • Advised on a high-value supply arrangement relating to electronics equipment for submarines. 

Lucy advises on global routes to market, including distribution, agency, franchising, influencer agreements, and direct sales in overseas markets. She has particular expertise advising on the Commercial Agents Regulations, and guiding clients on strategy to manage their liabilities under the Regulations. Lucy partners with local lawyers where necessary to deliver an end-to-end legal service. 

Experience

  • Assisted a luxury clothing brand to appoint and terminate distributors across the world.  
  • Advised an international manufacturer of agency, distribution and sales agreements in Egypt, India, Pakistan, Ukraine, Ireland, Poland, Africa, Vietnam, Saudi Arabia, and Denmark, including advice on compliance and local law risks.  
  • Advised on international medical device distribution arrangements spanning the US, Europe, and Gulf region. 
  • Advised US businesses on making their standard terms of sale compliant with English law. 
  • Advised on franchise agreements under the Hilton brand. 
  • Advising on an estate agency franchise agreement.

Lucy advises a wide range of manufacturing business on their commercial contracts, including supply agreements, procurement agreements, product development agreements and contract manufacturing agreements. She also specialises in advising on domestic and international logisticsfulfilment, and warehousing. She has experience advising on international logistics conventions, RHA Conditions, BIFA Conditions, and UKWA Conditions.

  • Negotiating a contract manufacturing agreement for a UK business opposite Syngenta. 
  • Drafted standard contract terms for a range of co-packing, storage and fulfilment businesses. 
  • Drafted a suite of template logistics and warehousing agreements for a global transport and logistics company. 
  • Advised an international retailer on its global shipping arrangements with Maersk and DHL. 
  • Advised a US toy retailer on setting up a warehousing and distribution centre in the UK. 
  • Advised PD Ports on a roll-on roll-off stevedoring contract with CLdN. 
  • Drafted and negotiated a 20-year port handling and logistics services contract with a major steel stockholder. 
  • Negotiated a major logistics outsourcing agreement for UK-wide freight services for a plastics manufacturer. 
  • Advised on a complex framework agreement for business-critical customs and freight-forwarding services across Europe. 
  • Advised various clients on international freight conventions. 
  • Delivered training on international logistics contracts to the legal team at one of the world’s leading logistics providers. 
  • Advised a cargo haulier on modern slavery in its international supply chain. 

 

Lucy advises on the commercial aspects of real estate transactions, including property management, asset management, facilities management, and maintenance agreements. She has experience with residential, commercial, and mixed portfolios.

Experience

  • Advised one of the UK’s largest professional landlords on the property management contracts relating to a £160m residential portfolio in Chelsea and Kensington. 
  • Advised a leading property investment company on asset management agreements and associated duty of care deeds. 
  • Drafted and negotiated property management agreements for a range of commercial and industrial premises for a property asset manager. 
  • Advised a property manager on contracts to manage 20,000 residential assets for Lloyd’s Bank. 
  • Advised ITV on the location hire agreements for hit show “I’m A Celebrity, Get Me Out Of Here!”. 
  • Advised on furniture procurement and supply arrangements for a high-prestige development in London involving 900 properties. 
  • Advised on management agreements for student accommodation. 

Lucy provides commercial support on M&A and cross-border transactions, including conducting due diligence and advising on transitional services agreements.  

Experience

  • Advised on hotel management arrangements relating to the sale of a Swiss hotel, including cross-border data flows, in conjunction with Swiss counsel. 
  • Advised on the acquisition of a self-storage business, including commercial, IT, data protection, and insurance due diligence. 
  • Advised on transitional services agreements relating to the acquisition of a £160m residential property portfolio in Chelsea and Kensington. 

Lucy advises life sciences clients on a broad scope of commercial contracts, including in relation to nutraceuticals, wellness products, supplychain pharmaceuticals, medical devices, and clinical trials. 

Experience

  • Advised a Swiss biotech on its clinical trial agreements and CRO services contracts in the UK, including data protection advice. 
  • Advised Sterling Pharmaceuticals on a contract manufacturing arrangement for the active pharmaceutical ingredient for hydroxychloroquine during the pandemic. 
  • Advised on international medical device distribution arrangements spanning the US, Europe, and Gulf region. 
  • Advised on a Chinese licensing and influencer arrangement for vitamins and nutraceuticals. 
  • Drafted a disclaimer for the use of a novel medical device for wellness treatments. 

Lucy advises healthcare providers on the provision of healthcare services, including platform healthcare providers of surgery and general healthcare.

  • Drafting standard terms and a privacy policy related to the provision of healthcare services to consumers. 
  • Advised a platform healthcare provider on terms relating to hip replacement surgery. 

Lucy advises on hotel management, asset management, franchising, and procurement arrangements in the hospitality sector, including as part of crossborder transactions.

Experience

  • Advised on hotel management arrangements relating to the sale of a Swiss hotel, including cross-border data flows, in conjunction with Swiss counsel. 
  • Advised Frogmore Real Estate Investment Managers on hotel management agreements and hotel franchise agreements. 
  • Advised on franchise agreements for the Days Inn brand. 
  • Advised a leisure operator on hotel management agreements relating to the Mercure brand. 
  • Advised on hotel management agreements for hotels operating under the Marriott brand. 

Lucy advises on procurement arrangements, cap-ex projects, and product development agreements relating to energy transition and green tech. 

Experience

  • Advised a global petrochemical manufacturer on capital equipment purchase terms for a nationally significant project to convert its olefins cracker to utilise shale gas. 
  • Advised a UK boiler manufacturer on an international collaboration to develop heat pumps. 
  • Advised a FTSE 100 company on the purchase and installation of energy turbines for its Italian plant. 
  • Drafted contracts relating to the build of direct air capture technology. 
  • Advised on a licence of low emission gasification technology. 
  • Advised on a franchise agreement for the supply and installation of solar panels. 

Lucy advises on arrangements for the procurement, development and supply of technology products and services across a range of sectors. 

Experience

  • Advised on the procurement, installation, and commissioning of data centres for AI use. 
  • Supported a tech-enabled operator of EV lorries and charging infrastructure with the development of its master customer agreement. 
  • Advised a smart lighting manufacturer on a business transformation project, and drafted a suite of contracts for the supply and commissioning of smart lighting systems controlled via an app. 
  • Drafted a manufacturing agreement for the development of telecoms infrastructure to boost mobile phone signal in inner cities. 
  • Advised on terms for business intelligence and cybersecurity services. 
  • Managed the flow down to subcontractors of extensive contractual terms for the supply of smart metering goods and services under a contract worth £500m.
