Joshua has over 10 years of experience advising lenders, funds, sponsors, corporates and individuals on a broad range of secured and unsecured debt finance transactions.

He focuses on real estate finance, leveraged/acquisition finance, asset-based lending, venture debt, and distressed M&A transactions. His work includes advising on complex funding structures and refinancings, intercreditor and subordination arrangements, and the design and perfection of security packages.

Joshua acts for global and UK institutional lenders as well as bridging/alternative finance providers, regularly delivers cross-border mandates, and advises directors and guarantors on independent legal advice requirements.

Expertise

Joshua advises sponsors, corporates and banks on acquisition/MBO financing, unitranche/senior structures, and complex intercreditor arrangements from term sheet to completion. 

Experience

  • Acted for Chiltern Capital LLP on its acquisition of Rapid Repair Network Limited, negotiating the senior facility agreement, complex intercreditor arrangements (including deferred consideration) and security across the corporate stack. 
  • Acted for a group of pharmaceutical companies on a £55m term and revolving facility to refinance multiple lenders across seven jurisdictions. 
  • Acted for a manufacturing company on a £19m acquisition facility to fund the purchase of a group of companies. 
  • Acted for British Independent Utilities on a c.£15m corporate facility with a major UK bank. 
  • Acted for City & Country on a deep-discount bond with Beaufort Ventures as mezzanine lender, and intercreditor negotiations with Lloyds under a senior facilities agreement. 
  • Acted for a high-net-worth individual on a c.£25m syndicated facility for a hotel acquisition. 
  • Acted for a large banking group on a £25m revolving credit facility for a plc motor-finance and bridging-lender client, including amendments to the underlying LMA-based facility. 

Joshua advises lenders and borrowers on investment and development real-estate financings and refinancings (including bridging), providing end-to-end support from due diligence through security to drawdown. 

Experience

  • Acted for Al Rayan Bank Plc on a £300m+ programme of Sharia-compliant development and investment financings, structuring Commodity Murabaha/Ijara facilities, coordinating property due diligence, and creating bank precedents to accelerate execution. 
  • Acted for the borrower on a £30m cross-border acquisition facility for data sites in the UK and Ireland, negotiating LMA documentation, implementing a multi-jurisdictional security package, and delivering completion on an accelerated timetable. 
  • Advised on the acquisition and development of two hotels in the North of England for a major hotel developer, aligning senior and mezzanine funding with construction milestones and embedding robust fund-flow, security and step-in protections. 
  • Acted for the borrower on a £28m LMA facilities agreement backed by a complex multi-SPV property structure, re-engineering the covenant and security suite to fit the asset profile and sponsor requirements. 
  • Acted for a residential developer on a multi-lender £18.7m senior and mezzanine development facility, negotiating the intercreditor, sales-release and cost-overrun mechanics and driving conditions precedent to first drawdown. 
  • Acted for Smith Bradbeer Limited on the refinance of its substantial commercial property portfolio from Lloyds to NatWest, re-papering security across the estate, resolving title issues and consents. 
  • Acted for multiple short-term bridging lenders (including UAE-based financiers) on £200m+ of UK real-estate originations and refinancings, delivering rapid completions, robust security coverage, and managing cross-border funding and compliance. 

Joshua advises on receivables, inventory and hybrid ABL structures, often alongside term debt, and navigates intercreditor, collateral, and operational controls. 

Experience

  • Acted for Chiltern Capital LLP on its acquisition of Batt Cables Limited (£80m of term-loan and ABL commitments, cross-border and multi-party). 
  • Acted for Chiltern Capital LLP on the management buyout of Strata Products Limited, funded by equity, a term loan from Metro Bank plc and an ABL facility from SME Invoice Finance. 
  • Acted for CentreSoft Group Limited on its management buyout from Activision Blizzard (a Microsoft division), securing a £10m receivables facility from IGF and negotiating the loan and security suite. 

Joshua advises banks and growth companies on venture debt transactions, including investor intercreditor dynamics and bespoke covenant packages. 

Experience

Acted for Mizrahi Tefahot Bank Ltd on its first UK venture-debt transaction with Resi Design, negotiating intercreditor terms with existing investors (including ITV). 

Joshua advises investors and companies on rescue financings, restructurings and complex intercreditor arrangements in accelerated or insolvency-adjacent contexts. 

Experience

  • Acted for Hilco Capital Limited on its investment into Real Good Food Group, drafting and negotiating a secured term-loan agreement, full security package and complex intercreditor arrangements. 
  • Acted for Coolabi Group Limited on the restructuring of a unitranche facility following its parent’s administration, including facility and intercreditor negotiations, releases and conditions precedent. 

Joshua supports clients on working-capital lines, cross-border facilities and ongoing loan servicing.

  • Working on a major international mandate for a North American client on a $35m financing across five jurisdictions. 
  • Acted for Dishoom on a Barclays working-capital LMA facility. 
  • Regularly advises high-street and challenger banks on intercreditor arrangements, redemptions, amendments to facilities and lender consents. 

Joshua advises sponsors and management teams on acquisitions, MBOs and portfolio financings, including senior/unitranche and mezzanine structures. 

Experience

  • Acted for Chiltern Capital on the MBO of Strata Products, combining equity, a term loan (Metro Bank plc) and an ABL line (SME Invoice Finance). 
  • Acted for City & Country on a deep-discount bond with Beaufort Ventures as mezzanine lender and intercreditor negotiations with Lloyds.
