Isaac is a banking and finance lawyer who specialises in syndicated loans and various types of secured and unsecured transactions. His lending experience includes bilateral and syndicated lending with sovereigns (including Kenya, the Turkish Republic, Senegal, Togo and Ghana) and international organisations (including Black Sea Trade and Development Bank, Asian Development Bank, European Investment Bank, Trade Development Bank and African Export-Import Bank).

Isaac’s clients also include financial institutions and corporate borrowers.

Isaac advises on complex cross-border syndicated lending, sustainable financing, refinancings, bilateral facilities, loan participation sales and major emerging-market bank transactions for leading global lenders and financial institutions.

Experience

  • Advised facility agents and syndicate banks in connection with a large number of high-value syndicated loans (both secured and unsecured) in numerous jurisdictions, both European and worldwide.
  • Advised facility agents and syndicate banks in connection with the refinancing of existing loan facilities.
  • Acted for a well-known Middle Eastern bank, in a series of transactions, as documentation agent and arranger in relation to a large US and large EUR sustainability-linked dual tranche dual currency loan facility for one of the largest banks in Turkey as borrower.
  • Acted for a well-known Middle Eastern bank as documentation agent and arranger in relation to a high-value unsecured syndicated and loan facility for a bank as borrower.
  • Advised Bank of America DAC in relation to a £580m syndicated sustainable dual currency term loan facility for Akbank T.A.S.
  • Advised Bank of America DAC in relation to an £810m syndicated sustainable dual currency term loan facility for Yapı ve Kredi Bankası A.Ş.
  • Advised Industrial and Commercial Bank of China Limited, London Branch, in relation to US$40m bilateral revolving credit facility for a JPMorgan emerging markets fund.
  • Advised Emirates NBD Capital in relation to a near $1bn equivalent syndicated dual tranche term loan facility for each of AKbank, Yapi Kredit, Ziraat Bankasi, ISbank and VakifBank, the largest banks in Turkey.

Isaac advises on syndicated loans and secured and unsecured transactions, acting for leading financial institutions and borrowers on high-value, cross-border facilities across Europe, Asia, the Middle East, and Africa.

Experience

  • Advised a wide range of financial institutions and corporate borrowers including ICBC, Standard Chartered Bank, Bank of America, Commerzbank, Standard Bank of South Africa, Wells Fargo, Emirates Bank, Bank Hapoalim, Leumi, Israel Chemicals Ltd., Teva Pharmaceutical Ltd., MUFG, SMBC, and Mizuho Bank, Ltd.
  • Advised clients on the majority of Turkish FI loan agreements including Garanti Bankasi, AK Bank, ISbank, Yapi Kredi Bankasi, Vakifbank, QNB Finansbank, Denizbank, and Turk Eximbank.
  • Advised ICBC as the documentary agent and a syndicate of banks on the US$1 billion syndicated term loan facility for The Standard Bank of South Africa for general corporate purposes.
  • Advised Mashreqbank as the documentary agent and a syndicate of banks on a syndicated term loan facility for Saigon and Hanoi Bank for general corporate purposes.
  • Advised Standard Chartered Bank as the documentary agent and a syndicate of banks on the syndicated term loan facility for Trade Development bank, the international economic organisation, for its general corporate purposes.
  • Advised ICBC as the borrower on a syndicated term loan facility in excess of $750m, for general corporate purposes, with Wells Fargo as agent.

Isaac advises on African financing matters, including additional funding for industrial projects, restructuring shareholder loans, and negotiating facility agreements for major Nigerian banks and their international financiers.

Experience

  • Advised the financiers of a steel mill in Africa in relation to the injection of additional funding, along with repayment of certain shareholder loans and the amendment and restatement of certain documents.
  • Advised the facility agent and the banks in relation to facility agreements for certain well-known banks in Nigeria.
  • Advised a syndicate of lenders, led by Bank Hapoalim as facility agent, entered into an Export Credit Facility Agreement (“ECFA”) with the Sugar Corporation (“ESC”), an Ethiopian “public enterprise” wholly owned by the Ethiopian Government.
  • Advised on a Facility Agreement made between The Togolese Republic acting through its Ministry of Economy and Finance (the “Borrower”) and Bank Hapoalim B.M. in its capacity as lender.
