Ellie is a consultant solicitor who works closely with one of our partners in the corporate team. She is a corporate lawyer with extensive experience advising on complex private and public cross-border M&A transactions, corporate reorganisations, joint ventures, and broader corporate advisory work for listed and unlisted clients. Her practice spans a range of sectors, with a particular focus on financial institutions and regulated businesses.

Ellie’s experience includes advising on large-scale public company transactions, strategic acquisitions and disposals, financial services mergers and restructurings, and intricate cross-border corporate structuring projects.

Expertise

Ellie advises listed and private companies on complex cross-border M&A, public takeovers, and strategic acquisitions, guiding clients through negotiations, regulatory approvals, and integration planning on high-value international transactions globally focused.

Experience

  • Advised JD Sports Fashion Plc on multiple cross-border acquisitions, including Hibbett, Inc., Courir, and Iberian Sports Retail.
  • Advised Entain plc on its public takeover defence against MGM and DraftKings, its sale of InterTrader, and its acquisition of Avid Gaming.
  • Advised Labora Holdings on its acquisition of the Segen group, a global wholesale distributor of solar PV and energy solutions.
  • Advised United Biscuits and its principal shareholders, Blackstone and PAI, on the sale of the business to Yildiz Holding.
  • Advised Aberdeen Asset Management on its all-share merger with Standard Life.
  • Advised Marsh on its cash acquisition of Jelf Group.
  • Advised Bank of Montreal on its acquisition of F&C Asset Management plc.

Ellie advises financial institutions and insurers on mergers, schemes, restructurings, and joint ventures, leveraging in-house and secondment experience to navigate regulatory change and complex cross-border structuring requirements in transactions globally.

Experience

  • Advised HSBC on the Saudi British Bank’s merger with Alawwal Bank and on various fintech joint venture arrangements and strategic partnerships.
  • Advised Equitable Life on its scheme of arrangement, Part VII transfer, and subsequent sale to Utmost Life and Pensions.
  • Advised Hartford Financial Services Group on the restructuring of its UK legacy insurance businesses into a single run-off entity.
  • Advised London Stock Exchange Group on the acquisition of a majority stake in LCH Group and the proposed sale of LCH SA to Euronext.
