Ellie has extensive experience as a corporate lawyer working on a wide range of transactions. She advises on domestic and cross-border M&A, corporate reorganisations, joint ventures and other corporate advisory and transactional work for a range of listed and unlisted clients. Her practice spans a range of sectors, with a particular focus on financial institutions.

Ellie is a dual qualified English and Irish solicitor.

Ellie advises buyers and sellers on share and business sales and acquisitions, including deal structuring, due diligence and negotiation of key transaction terms.

  • Advised JD Sports Fashion Plc on its acquisition of Hibbett, Inc. and its acquisition of Courir.
  • Advised Etex on the sale of its UK clay and concrete roofing tiles and components business to Inflexion.
  • Advised Labora Holdings, parent company of City Electrical Factors on its acquisition of the Segen group, a global wholesale distributor of solar PV and energy solutions.
  • Advised Equitable Life on its scheme of arrangement, Part VII transfer and sale to Utmost Life and Pensions.
  • Advised Aberdeen Asset Management on its all-share merger with Standard Life.
  • Advised London Stock Exchange Group on the acquisition of a majority stake in the LCH Group and related governance arrangements.
  • Advised Marsh on its cash acquisition of Jelf Group.
  • Advised Bank of Montreal on its acquisition of F&C Asset Management plc.

Ellie advises on joint venture arrangements, and shareholder and governance arrangements, including to set out ownership rights, decision-making powers, and exit arrangements.

Experience

  • Advised a financial institution on its ownership and governance arrangements via a new shareholder agreement.
  • Advised on a complex shareholder agreement for a tech start-up involving multiple founders and institutional investors.

Ellie advises financial institutions and insurers on M&A, joint ventures and corporate reorganisations.

  • Advised HSBC on the Saudi British Bank’s merger with Alawwal Bank and on various fintech joint venture arrangements and strategic partnerships.
  • Advised Equitable Life on its scheme of arrangement, Part VII transfer and subsequent sale to Utmost Life and Pensions.
  • Advised Hartford Financial Services Group on the restructuring of its UK legacy insurance businesses into a single run-off entity.
  • Advised London Stock Exchange Group on the acquisition of a majority stake in LCH Group and the proposed sale of LCH SA to Euronext.
  • Advised Aberdeen Asset Management on its all-share merger with Standard Life.
  • Advised Marsh on its cash acquisition of Jelf Group.
