Edward specialises in mergers and acquisitions, corporate commercial work and employment law.   

He advises businesses, directors and investors in these areas, including mergers and acquisitions, joint ventures, share buybacks, shareholders’ agreements, employment documentation, TUPE, redundancy, disciplinary issues and restrictive covenants. 

He is particularly well placed to assist on matters benefitting from his dual corporate and employment law expertise e.g. corporate acquisitions involving complex employment aspects or the exit of employed shareholders.   

Edward practised in the West End of London throughout his career before joining Keystone in 2010.   

Expertise

Edward advises companies, business owners and investors on corporate and commercial matters, including acquisitions, MBOs, joint ventures, partnership structures and commercial contracts. 

Experience

  • Acted on numerous corporate acquisitions/sales including in the IT, recruitment, property, tech, software, insurance broking, credit referencing, travel, retail, facilities management and catering sectors. 
  • Acting on numerous share buybacks including in the property, retail and recruitment sectors.   
  • Acted for the sellers in a complex double share swap resulting in their ultimate conversion into PLC shares. 
  • Acted on the corporate aspects of property transactions including the re-financing of a £120m portfolio. 
  • Acted for the sellers on a £40m convertible loan facility, equity investment and shareholder arrangements in the offshore renewable energy service sector.   

In addition to mergers and acquisitions, Edward advises on corporate structuring, joint ventures, shareholders’ agreements and partnership agreements. 

 

Experience

  • Acted for an IT business on a cross-border group restructuring.  
  • Acted for the majority shareholders of a retail business in a shareholder dispute settled by means of the transfer of the business to a new entity. 
  • Advised a recruitment company on the recovery of shares pursuant to leaver provisions and the negotiation of the settlement of claims in respect of a former director/shareholder. 
  • Advised an IT company in relation to the settlement of claims made by a former director and shareholder. 
  • Advised an architecture practice on the settlement of a commercial dispute involving a share sale and loan arrangements.  
  • Advised the majority shareholder of a high street retailer in relation to corporate structuring and shareholder issues on an ongoing basis.  

Edward advises businesses in relation to the drafting and negotiation of commercial contracts. 

Experience

  • Advised a UK credit reference agency on commercial contracts relating to its data supply. 
  • Acted (as peer reviewer) in relation to the provision of legal opinions in relation to loan and related documentation on a sequence of substantial loans made by a private credit firm. 
  • Prepared supply of services legal documentation for a global security and risk agency. 
  • Advised a retail business on contractual documentation relating to store concessions. 
  • Advised a wine brokerage on its distributor contracts.    

Edward advises employers and employees on all aspects of employment law, including documentation, TUPE, redundancy, disciplinary issues and restrictive covenants. 

Experience

  • Advising an SME client base on an ongoing basis in relation to the management of employment matters and issues. 
  • Advising numerous businesses and individuals in relation to the interpretation and management of restrictive covenant issues.   
  • Advising a facilities management business on an ongoing basis in relation to TUPE issues arising from successful tenders. 
  • Advised a healthcare provider in relation to the management of TUPE issues on its acquisition of healthcare practices.   

Edward is particularly well placed to assist on matters benefitting from his dual corporate and employment law expertise e.g. the exit of employed shareholders.   

Experience

  • Advising majority shareholders on a number of occasions in relation to the negotiation and completion of the exit of minority shareholders who are also employees. 
  • Advised a majority shareholder in relation to exit of a minority shareholder involving termination of employment alongside the transfer of the business.   
  • Acted for director and part owner of a recruitment company in relation to the contentious termination of his employment and sale of his shares.
