Nick is a highly experienced corporate lawyer specialising in mergers and acquisitions, equity fundraisings, joint ventures, shareholder agreements, and corporate restructurings. He also has expertise in private equity transactions and regularly advises management teams in PE- and VC-backed businesses. As well as pursuing his legal career, Nick has founded and run his own food-related business.

With significant expertise in both domestic and cross-border M&A, his clients range from founders, entrepreneurs, and family offices to multinational corporates, and his work encompasses a variety of sectors including financial services, technology, retail, leisure, and corporate real estate.

 

Expertise

Nick advises buyers and sellers on domestic and cross-border M&A transactions (both share and assets acquisitions and disposals). His work includes deal structuring, due diligence, and negotiation of key documents.

Experience

  • Acted for a consortium led by Aurea Group on the acquisition of The Body Shop from administration.
  • Advised US music licencing platform Songtradr Inc on several UK acquisitions.
  • Acted for the shareholders on the sale by way of auction process of Send for Help Limited to ECI Partners.
  • Acted on the acquisition of the business and assets of a wellness clinic in South London as part of a buy and build strategy.
  • Acted for Arlington Advisors on the sale of a portfolio of student accommodation assets to DIF Capital Partners.
  • Acted on the sale of a UK fertiliser business to a US private equity fund.
  • Acted for a professional services company involved in managing public sector programmes on several corporate acquisitions.

Nick advises founders, management teams, and investors on private equity investments, exits, and equity participation, across a range of sectors including technology, gaming, and sustainable industries.

Experience

  • Acted for the founders of Unity Five Limited on the investment into the company by Synova Capital.
  • Acted for the management of Marmalade Game Studio Limited on the investment by LDC into the company.
  • Acted for the management of Waste Knot Limited in securing investment from Gresham House to enable Waste Knot to build its first alternative fuel pelleting plant.
  • Advised certain members of management on their equity participation in Goldman Sachs-backed Riverstone Living.

Nick advises investors and groups of shareholders on the structure of strategic partnerships and joint ventures. This includes drafting and negotiating shareholder and investment agreements to set out the relationship between the parties including ownership rights, decisions making processes, and exit arrangements.

Experience

  • Acted for the founders of Unium Bioscience on a strategic partnership with HELM AG.
  • Advised a UK PE fund on a complex joint venture with an Australian company to exploit a patented energy technology in territories in Africa and North America.
  • Acted for a US investor on establishing an LLP to develop a hotel and members’ club in London.

Nick advises clients on corporate and governance matters, including directors’ duties,  corporate restructuring, and company law compliance.

Experience

  • Acted for the directors of a joint venture company to advise them on their duties following a dispute between the joint venture parties.
  • Advised a UK PE fund on the restructuring of its UK joint venture involving the sale of the joint venture business to an overseas newco.
  • Advising the shareholders in various associated companies providing IT services to the dental industry on a reorganisation to bring the companies under common ownership.

Nick is an experienced corporate lawyer. He regularly advises clients in the property sector in relation to M&A transactions, development agreements, complex joint ventures, and profit-sharing arrangements.

  • Acted for Arlington Advisors on the sale of a portfolio of student accommodation assets to DIF Capital Partners.
  • Acted for Countryside Properties on a joint operations agreement for the development of a property in Bishop Stortford.
  • Acted for Telford Homes on the corporate aspects of a forward-funding deal for Capital Interchange Way, Brentford.
  • Acted for Telford Homes on a joint venture with SNG for the acquisition and development of the Rotherhithe gas works.
  • Advising on a number of sales and acquisitions of high-value properties housed in corporate wrappers.

Nick is a highly experienced corporate lawyer who regularly advises clients in the leisure sector on sales, acquisitions, joint ventures, and shareholder agreements as well as private fund raising.

Experience

  • Acted for a property client on a joint venture to develop and operate a hotel in Central London.
  • Acted for a US investor on establishing an LLP to develop a hotel and members’ club in London.
  • Acted for a North American travel booking app and online travel marketplace company on various matters.
  • Advised a high-net-worth client on the acquisition and shareholders’ agreement for a central London restaurant.
  • Acted on the acquisition of a 4-star hotel from Starwood Capital.
