Angelene is a commercial and competition lawyer. Having worked in private practice, in-house and also at a regulator, she can offer businesses a valuable multi-dimensional perspective. Her work spans multiple sectors and regularly has an international dimension.

As a commercial lawyer, Angelene advises on a wide range of contracts including terms and conditions, supply agreements, purchasing contracts, services agreements, manufacturing, distribution, agency, logistics and warehousing.

With regard to her competition work, Angelene provides practical advice on commercial arrangements whilst ensuring compliance with both EU and UK competition law.

Angelene regularly advises on merger control, applying for merger control clearances in the UK and coordinating merger control filings around the world in relation to international transactions, investments and joint ventures. Angelene also has experience of analysing notification requirements under the National Security and Investment Act and has successfully guided clients through both mandatory and voluntary notifications.

Angelene advises on complex commercial contracts, including international trade, supply chain, procurement, outsourcing, software terms, NDAs, and agreements for distribution, manufacturing, logistics, leasing, and collaboration. 

Experience

  • Advised a client specialising in energy trading and battery management on a template services agreement, template introducer agreement, and terms and conditions for the supply of commercial batteries. 
  • Advised a medical tech client on a software user agreement. 
  • Advised a major drinks manufacturer on its warehousing and logistics contracts. 
  • Advised a retailer on international distribution and agency arrangements. 
  • Advised a major supermarket on a wide range of service contracts, including procurement, logistics and fleet vehicles. 
  • Advised on a collaboration agreement requiring bespoke and tightly drafted confidentiality terms. 
  • Advised a renewable energy project developer on consultancy agreements and non-disclosure agreements. 

Angelene advises on UK and EU competition law, covering anticompetitive practices, dominance abuse, merger control, national security clearances, compliance programmes, investigations, due diligence, and competition issues in commercial arrangements. 

Experience

 

  • Advised a clothing supplier on the competition law compliance of restrictions it imposes on retailers as part of its distribution strategy. 
  • Advised a global shipping firm on the terms of a joint venture from a competition law perspective guiding an automotive sector client through a UK merger control notification process. 
  • Advised and coordinated a multi-jurisdictional merger control project for a global conglomerate active in (and involved in an acquisition in) the electronic manufacturing sector. 
  • Advised on designing and implementing internal competition law compliance programmes for a trade association. 
  • Advised train operating companies on permissible behaviour in the context of abuse of dominance prohibition. 
  • Advised and led on a project to deliver a wide range of compliance policies and accompanying training sessions to a real estate investor and developer, including on competition law, anti-money laundering, anti-bribery, data protection and document retention.
