Tania is an experienced technology lawyer, advising both customers and suppliers on a broad range of commercial, outsourcing and technology-based transactions.

On the technology side, Tania’s practice has a focus on complex IT services, procurement, and large-scale technology projects such as enterprise resourcing planning system implementations and managed services arrangements. Her work also regularly includes IT transactions such as cloud (SaaS, PaaS and IaaS), emerging technologies including artificial intelligence and robotic process automation, software development, software licensing and hosting.

With extensive experience in outsourcing and commercial matters, Tania also handles data licensing, business process outsourcing and procurement, as well as goods and services agreements.

Supporting her clients through all phases of their transactions, Tania acts on behalf of her clients in strategy development, preparation of proposal requests, responses to tender requests, evaluation of potential vendors, term sheet and contract negotiations, and ongoing contract management and deal restructuring.

Throughout her career, Tania has worked with clients across a number of sectors including technology, professional services, financial services, manufacturing, natural resources, and retail and consumer.

Expertise

Tania advises financial institutions on cloud transactions, outsourcing, procurement, and data licensing. She ensures regulatory compliance, mitigates risk in digital transformation projects, and negotiates complex technology and AI-related contracts.

Experience

  • Advised a Tier 1 business process outsourced services provider in relation to numerous agreements with numerous clients in the FS space, including the following arrangements:
    • a global outsourcing by an international bank of the bank’s accounts payable, requisition management, and procurement functions;
    • an agreement with a global bank for knowledge process outsourcing services, and research and analytics support services;
    • a response to an international bank’s RFP for Purchase to Pay managed services;
    • a licence to use the provider’s IT platform to an investment bank.
  • Advised a health and life insurance provider in relation to one of its key IT agreements for IT support and maintenance.
  • Acted for a global provider of financial software and related solutions in negotiations with one of its key investment fund clients.
  • Advised a financial services company on outsourcing agreements for life and pensions administration.
  • Advised a UK insurance provider on numerous software licences and negotiated ongoing support arrangements.
  • Advised a bank in relation to the procurement of hosting services through a SaaS model.
  • Negotiated a software licence and support arrangement for a B2C credit provider.

Tania supports professional services firms with procurement, digital transformation, and general commercial contracts. She advises on software development, AI service terms, and cloud agreements, including transitioning from legacy infrastructure.

Experience

  • Advised an international law firm on numerous IT-related services, including network and cloud services, software licensing, SaaS, and the procurement of a CRM system.
  • Advised an international professional services company on the negotiation and drafting of a BPO agreement with a global medical technology company, to cover a broad range of finance and accounting services (general accounting, accounts payable, order to cash and related IT services). The agreement covered service provision to business entities in the UK, Europe, Asia, North and South America, and the Middle East, and allowed for local country agreements where required due to local laws or to address any local variances for service scope or charging.
  • Created standard terms of service for a business management consultancy for its new SaaS offering.
  • Advised a leading independent real estate consultancy on numerous large-scale procurement agreements, including in relation to the outsourcing of an SAP implementation, several data licensing agreements, and IT support services.
  • Advised an international consultancy services provider in relation to numerous government tenders, and negotiated awarded contracts.

Tania assists telecoms and tech companies with technology and services supply, software licensing, cloud and AI contracts, and outsourcing. She drafts standard terms, negotiates deals, and manages digital transformation risk.

Experience

  • Advised a provider of cyber security services on its key contractual matters, including updates to its template terms to strengthen the client’s contracting position, negotiating amendments to the terms, and drafting a reseller agreement to enable a third party to resell the client’s products in an offshore jurisdiction.
  • Advised a global conglomerate in relation to various data centre agreements in Europe and Asia, and framework agreements with various telecommunications providers.
  • Advised a provider of media asset management services with various contract negotiations with its customers, and advised in relation to a licence and support arrangement for accounting software.
  • Advised a B2C provider with the negotiation of an agreement for the customisation and implementation of an Adobe platform, using an agile project methodology.
  • Advised a provider as to its SaaS offering, including by creating standard terms of business.
