• Advised Starwood Capital on the intention to launch a Public Takeover Offer for CA Immobilien Anlagen AG.
• Advised H.I.G. Capital and General Atlantic on the sale of their investment in FNZ.
• Advised on fund structuring and cross-border marketing issues under the EU Alternative Investment Fund Managers Directive.
• Advised on the application of the Alternative Investment Fund Managers Directive to real estate investment trusts and joint venture structures.

Philip is an expert on UK compliance matters, including FCA rules, the Financial Services and Markets Act 2000, MiFID, EMIR, Principle 11 disclosures, conduct, risk management, and ongoing regulatory obligations.

• Advised on the application of the UK Financial Services and Markets Act 2000, the FCA Rules and EU single market legislation such as MiFID, MiFID II and EMIR.
• Advised on cyclical and event-driven interactions with the UK FCA including in relation to matters disclosed under Principle 11 of the UK’s principles for businesses.
• Advised investment managers on ongoing compliance matters under the FCA rules and regulations including conduct and risk management matters and risk reporting.

Philip advises on change in control matters, including FCA/PRA procedures under the Financial Services and Markets Act 2000, Part 4A permissions, and regulatory aspects of acquisitions, IPOs, and strategic investments.

• Advised on PRA/FCA procedures under the UK Financial Services and Markets Act 2000, including Application for Part 4A permission, Variation of Part 4A permission, banking business transfers and Change in Control Applications.
• Advised Nucleus Clyde Acquisition Limited on the recommended cash acquisition of Curtis Banks Group PLC.
• Advised HPS Investment Partners on the C$120 million term loan financing provided to Canaccord Genuity Group, Inc.
• Advised TPG in relation to its initial public offering.
• Advised Nordic Capital, a leading private equity investor, on Ottawa Avenue Private Capital’s acquisition of a passive minority equity interest in the firm.
• Advised HGGC on the sale of a majority stake in Davies, a leading specialist professional services and technology business serving the global insurance market.
• Advised Warburg Pincus on its co-investment in the combined group of Tilney Smith & Williamson.
• Advised an EQT-led consortium on the CHF 10.2 billion exclusive negotiations to acquire Nestlé Skin Health, a leading global skincare company.

Philip is instructed on complex insurance transactions, including strategic acquisitions, capital raises, and restructuring, with a focus on regulatory issues, investment structures, and change in control of insurance businesses.

• Advised Davies Group, a portfolio company of BC Partners, on the strategic acquisition of Asta, a leading third-party managing agent at Lloyd’s.
• Advised Madison Dearborn Partners, HPS and Ardonagh Group on Ardonagh Group’s restructuring of its investment structure, resulting in a US$7.5 billion valuation.
• Advised Madison Dearborn Partners on its majority investment in Ardonagh Group.
• Advised ABRY Partners on its investment in the $350 million capital raise by ERS.
• Advised HPS on its significant investment, together with Vitruvian Partners, in CFC, alongside CFC’s management team.
