Patrick is a corporate lawyer with over 35 years’ experience, with a practice covering all aspects of private and public company mergers and acquisitions, equity capital market transactions, and corporate finance and growth solutions for family and entrepreneurial businesses.

He advises boards of several listed and unlisted companies, across the technology, energy and natural resources sectors.

Patrick advises on complex M&A transactions across sectors, delivering strategic advice to buyers and sellers to optimise deal structure and execution for successful acquisitions and disposals.

  • Advised Time Finance plc on five acquisitions.
  • Advised Future plc on four acquisitions.
  • Advised the founders on the sale of Seneca Learning.
  • Advised Moog Inc. on the sale of its Tritech business which manufactures specialist subsea products.
  • Advised luxury clothing brand Orlebar Brown on its divestment to the Paris-based fashion house Chanel.

Patrick has deep experience advising on equity and debt investments, and shareholder rights and arrangements, serving private companies, institutional investors, and public bodies across diverse industries.

  • Advised on a confidential investment by a public body (by way of debt, warrants and contingent value rights) in a private company.
  • Advised Origin Primary Limited on two investments by Luxembourg Stock Exchange and Deutsche Bourse.
  • Advised RCF Management LLC and AFC on their investment in Alufer Mining Limited.
  • Advised on numerous investments by a buy-and-build fund.
  • Advised Neptune Holdco on various corporate transactions.
  • Advised a public body in relation to its special share rights in a private company as part of its merger with an overseas listed company.
  • Advised on an investment by Growthpoint Properties to achieve a 51% holding in Capital & Regional plc by way of a recommended partial cash offer and share subscription, and advising Growthpoint Properties on two subsequent fundraisings by Capital & Regional.
  • Advised on an investment by Growthpoint Properties to obtain a 29% shareholding in AIM listed Globalworth Real Estate Investments Limited.

Patrick assists clients with IPOs, placings, secondary fundraisings, and market admissions on AIM, advising issuers, brokers, and NOMADs through all transaction stages.

  • Advised AIM listed Time Finance plc on several fundraisings.
  • Advised Cenkos on the admission to AIM of CREO Medical plc and on subsequent fundraisings.
  • Advised CMO Group plc on its AIM admission and placing.
  • Advised Investec as nomad and broker to LungLife AI Inc on the latter’s AIM admission and placing.
  • Advised WH Ireland on a fundraising by Solid State plc.
  • Advised Future plc on a fundraising.
  • Advised Funding Circle SME Fund Limited on its IPO, a placing and the establishment of two share issuance programmes.

Patrick supports healthcare sector clients through fundraising, acquisitions, joint ventures, and reorganisations, navigating complex regulatory environments to foster growth and innovation in healthcare.

  • Advised on the establishment of and initial fundraising for Optimism Health Group, plus several subsequent acquisitions and fundraisings.
  • Advised Optimism Health Group on a number of reorganisations.
  • Advised Optimism Health Group on the acquisition of OutsideClinic.
  • Advised Optimism Health Group on the acquisition of VisionCall.
  • Advised Optimism Health Group on the establishment of a joint venture.

Patrick advises clients in telecoms and technology on acquisitions, restructurings, joint ventures, and capital markets transactions, supporting innovation-driven growth.

Patrick provides expert counsel to clients in mining, oil & gas, and clean energy sectors on investments, IPOs, joint ventures, restructurings, and fundraisings.

  • Advised Lithium Assets Limited on its joint venture investment with Imerys UK Limited in Imerys British Lithium Limited.
