Alison is an aviation solicitor with extensive experience having worked at two international law firms and three major airlines as General Counsel/Chief Legal Officer in the Middle East and Asia. Her main areas of expertise involve advising banks, lessors, manufacturers, major service providers and sellers to the airline industry and Airlines (therefore having the advantage of knowing the commercial considerations and perspectives of all parties to a transaction) on a wide range of aviation business including aircraft sales, purchases and novations, fleet restructuring,  pre-delivery financing, the purchase, financing and leasing of aircraft/engines and all related aircraft and onboard equipment and technology.

As the head of legal for three major airlines, Alison’s experience extends to advising on all aspects of aviation industry commercial contracts/licences including, but not limited to: wet/dry/damp leases and charters, TCAs, all GDS/IT-related matters, ground handling, catering, jet fuel supply, security, airport use, Conditions of Carriage, etc. Alison also has experience in advising on passenger regulatory matters and customer relations matters.

Expertise

Alison advises on cross-border fleet restructuring, aviation asset purchases, aircraft finance, regulatory compliance, operational licensing, commercial agreements, customer relationsand high-value commercial contracts.

Experience

  • Advised Air Asia Group on due diligence and directed the Group in relation to its contractual commitments in light of the pandemic. 
  • Advised Air Asia Group on and oversaw execution of three Group guarantee-backed finance facilities for specific projects within the Group’s core businesses. 
  • Advised Air Asia Group on multi-jurisdictional insolvency matters. 
  • Advised Gulf Air on a multimillion-dollar Murabaha trade commodity-based revolving credit facility with a major Middle Eastern banking group. 
  • Advised Gulf Air on fleet restructuring (Boeing and Airbus). 
  • Advised Gulf Air on airframe, engine and parts delivery planning. 
  • Advised Gulf Air on the reviewed and implementation of lease novations with various lessors. 
  • Advised Gulf Air on an innovative leasing structure for new Boeing aircraft deliveries (named by the Air Finance Journal as “2018 – Deal of the Year”). 
  • Advised Gulf Air on the negotiation and concluding of Engine TCAs, in a difficult manufacturer climate. 
  • Advised Gulf Air on the negotiation and concluding of wheels, brakes, seats and APU agreements. 
  • Advised Gulf Air on and negotiated aircraft charter agreements. 
  • Advised Gulf Air on and finalised share sales, both public and private, intra-group company transfers and company sales, and negotiated JV agreements. 
  • Advised Gulf Air on the negotiation of a Formula 1 Gulf Air-Bahrain Grand Prix sponsorship agreement together with related licensing agreements. 
  • Advised Oman Air on aircraft finance and leasing negotiations for an incoming 787 Fleet. 
  • Acted for Oman Air on the review and negotiation of emergency wet leases. 
  • Advised Oman Air on a complex route opening to Manila. 
  • Advised Oman Air on IATA standard contracts (ground handling, catering, jet fuel supply, security, engine leases). 
  • Advised Oman Air on the legal regime and liabilities under the Montreal Convention/Warsaw Convention, EU Regulations, country-specific regulations and Conditions of Carriage and overseeing of all disputes relating to baggage, passenger and commercial.
