Will is a corporate lawyer with expertise in M&A acquisitions and disposals, venture capital investments, joint ventures, corporate reorganisations, LLPs and corporate real estate transactions.

Will focuses on supporting UK entrepreneurs, business owners, growth companies and scale-ups on the journey from early stage through to exit. He also specialises in corporate real estate acquisitions and disposals and holding structures for commercial and super-prime residential assets, investments and development projects.

Will has wide-ranging experience in handling corporate matters for UK and international private wealth investors and family offices.

Experience

  • Acted for an Oxfordshire-based hi-tech engineering business on the corporate demerger of its property and trading interests and on securing a £10m growth capital investment from the Business Growth Fund.
  • Acted for a UK biotech developing synthetic vaccines for infectious diseases on its Series A fundraising with a Singaporean venture capital investor and related investment rounds raising over $20m.
  • Acted for a UK derivatives trading fintech on its exit from its incubating private equity partner.
  • Acted for a UK data engineering fintech business on its $28m equity fundraising with three US and UK venture capital investors.
  • Acted for a London-based fintech providing tech-driven curated content on a number of investor fundraisings and share incentive arrangements.
  • Advised the UK and European family offices of an ultra-high-net-worth investor on several UK corporate and real estate acquisitions, investments and disposals.
  • Acting on M&A and other corporate transactions for a number of leading UK specialist and social care operators.
  • Advised on the founder shareholder agreements and related corporate matters for Equitbl, an Isle of Man tech start-up developing Web3, blockchain and NFT technologies to create the next generation brand, fan and consumer experience.

Will structures and executes corporate real estate transactions, including UK and offshore holding structures, advising on acquisitions, disposals, and governance for private wealth, investment, and development projects.

Experience

  • Acted for a UK asset manager on the £25m corporate acquisition of a Central London commercial property for a Danish ultra-high-net-worth investor.
  • Acted for a large Singaporean real estate developer on its acquisition and disposal of several London commercial real estate assets through UK and offshore SPV structures (value of £30m–£60m).
  • Advised a UK super-prime residential developer on establishing offshore structures, backed by a club of UK and offshore ultra-high-net-worth investors, to acquire and redevelop London super prime properties.
  • Advising a high-net-worth investor in relation to a holding structure for a co-investment in a European hotel.
  • Acting for an ultra-high-net-worth family investor on the establishment of a multi-jurisdictional holding structure to invest in pan-European hotels and commercial real estate assets.
  • Acted for a large US investor on the share sale to a leading European care homes operator of the UK operator of a portfolio of 28 care homes.

Will advises Middle East UHNW families and investors on cross-border acquisitions, real estate structures, joint ventures, and Sharia-compliant financings, spanning luxury property, infrastructure, hospitality, and strategic corporate investments in the UK and globally.

  • Acting for a KSA family on its corporate acquisition of a UK office and retail park.
  • Acting on the corporate acquisition of a ME super-yacht marina design consultancy.
  • Acting for a KSA family on its corporate acquisition of a UK office and retail park.
  • Acting for a Qatari UHNW family on the establishment of a tax-efficient multi-jurisdictional holding structure to invest in pan-European hotels and commercial real estate assets.
  • Acting for a Middle East UHNW family on the restructuring of its equity investment in a London riverside real estate development project.
  • Advised a UK super-prime residential developer on establishing tax-efficient offshore fund and JV structures backed by mainly MENA UHNW investors, to acquire, redevelop and sell London super-prime residential properties (in the £5 – £50m value range) and related acquisition and development debt financings (typically Sharia-compliant).
  • Acting on the c.£50m equity investment in an Egyptian port development infrastructure project.
  • Acting for members of a MENA royal family on the sale of 3 London super-prime residential properties through offshore corporate vehicles.
  • Acting for the family office of a Qatari UHNW on the sale of an apartment in One Hyde Park, London via an offshore corporate vehicle.
