Jonathan is a commercial lawyer who advises on a broad range of commercial law and commercial contracts matters. His work has a particular focus on project structuring, management and delivery, including service agreements, supply contracts, management agreements, shareholders’ agreements, JVs, partnering, collaborations, outsourcing, and terms of business.

Jonathan advises on market channels including ‘direct to consumer’, direct selling, multi-level marketing, affiliate marketing, agency, distribution, e-commerce, licensing, and sales and marketing laws, and related regulatory areas including data protection and consumer protection.

Jonathan also represents a number of high-profile private individuals on commercial matters including investments, collaborations, and sale and purchase transactions.

He has a strong international client base, with a particular focus on UK market matters for North American and European clients.

Jonathan advises on drafting, negotiating, and managing a wide range of commercial contracts, including service agreements, procurement arrangements, endorsements, and collaborative ventures across a range of business sectors.

Experience

  • Advises Real Estate Management, the property managers for The Shard, on a range of commercial contracts including for the provision of services to The Shard and for the conduct of media events at The Shard.
  • Advises Olympus Property on the procurement of service partners for the provision of FM and related services to the redeveloped ‘Olympia’ estate in Kensington, West London.
  • Advised film star Antonio Banderas on a number of commercial ventures, including product endorsement agreements with Nexus SmartPay and a collaboration with Starlite of Marbella.
  • Advises Radnor Range, the UK MoD accredited independent test house, on contracts with third parties including QinetiQ, BAE Systems, and Roxel UK Rocket Motors.

Jonathan advises on UK and international sales and marketing law, supporting direct selling, e-commerce, and direct-to-consumer businesses on compliance, market entry, business models, and regulatory matters in the UK market.

Experience

  • Advises the UK Direct Selling Association and many direct selling companies on UK sales/marketing laws, international expansion programs, and related legal matters for over 35 years.
  • Advised on the establishment and business model for the development of eXp in the UK. eXp is now the UK’s fastest-growing estate agency brand.
  • Advice on the legal aspects of UK market entry to many direct sales businesses including UK DSA member companies.
  • Advice to direct to consumer businesses on compliance with UK consumer protection laws including the Digital Markets, Competition & Consumers Act 2024.

Jonathan advises on data protection compliance, conducting audits, implementing GDPR-compliant processes, and guiding organisations on handling personal data responsibly across a range of sectors including charities, non-profits, and direct-to-consumer businesses.

Experience

  • Advice on data protection matters to Motability Foundation, the Royal Charter body which oversees the Motability Scheme and provides access to transport to hundreds of thousands of people a year including disabled people and their families.
  • Completion of a data protection audit and subsequent refreshing of data protection processes and documents for Carbon Disclosure Project (CDP), the global non-profit that runs the world’s only independent environmental disclosure system.
  • Advice on data protection matters to a number of direct-to-consumer businesses including the structuring of UK GDPR-compliant processes with independent resellers and customers and international data transfers.
