Alex is a corporate solicitor specialising in domestic and cross-border M&A, private equity, corporate restructuring, joint ventures, and commercial agreements.

Alex works with clients ranging from startups to multinational corporations and is experienced in advising on a variety of sectors with a particular emphasis on automotive, technology and education. He is also conversant with investing and conducting business in various South Asian jurisdictions.

Alex also assists in dispute resolution and both contentious and non-contentious competition law matters.

Experience

  • Advised on the sale of Anson Limited, an oilfield services company to National Oilwell Varco, an American multinational specialised in providing equipment and components for oil and gas exploration and production, for £88 million. 
  • Acted for the shareholders of Ansible Motion Limited, a leading provider of advanced simulators to the global automotive market in the sale of the company to AB Dynamics Plc for £31.2 million. 
  • Acted for the shareholders of a UK-based specialist supplier of audio-visual equipment solutions on the sale of the company to EAV Group GMBH, a German-based international distributor for £14 million. 
  • Advised Liberata UK Limited, a leading business process services company, on the acquisition of Trustmarque Solutions Limited for £12 million. 
  • Advised on 8 separate acquisitions of children’s nurseries for private equity-backed Family First Nurseries Group, comprising share sales ranging from £1 million to £25 million to include single-site and dual site-nurseries to group acquisitions with up to ten sites. 
  • Advised Bell Microsystems Limited, a market-leading technology and IT managed services company, in the acquisition of workforce and shares across India, Slovakia and the US from Amelia Holdings Inc, a US-based business specialising in AI technology. 
  • Acted for Global Carbon Council, a Qatar-based voluntary carbon offsetting business, on the acquisition of shares in Global Carbon Registry Limited, from Global Environmental Markets Pty Ltd, an Australia-based company involved in the development of bespoke financial technology platforms. 
  • Advised Semcon AB, a Swedish provider of technology services on the sale of its UK subsidiary Semcon Engineering UK to ASM Technologies Limited, an India-based technology service provider. 

Alexander offers specialist advice on private equity and venture capital transactions, guiding investors and companies through fundraising, investments, exits, and governance. 

Experience

  • Advised WealthOS, a UK-headquartered cloud-native wealth management infrastructure platform provider, on the successful closure of multiple seed funding rounds to include various regulatory and compliance matters concerning funding by Sri Lankan investors. 
  • Acted for a Hong Kong-based private equity fund on the acquisition of a 45% stake in the Ambootia Group one of India’s leading tea producers. 
  • Advised a UK-based subsidiary of an Australian broadcaster in providing telecommunications infrastructure to expand its UK operations through a private placement of shares to ten additional investors. 
  • Advised a serial entrepreneur on investments made into various UK-based early-stage startups in the recruitment and technology sectors. 

 

Alexander provides expert advice on business reorganisations, including restructures, demergers, and intra-group transfers. 

Experience

  • Advised an international education group on a reorganisation where we assisted a big-four accountancy practice in effecting a revised group structure following the liquidation of certain group companies. 
  • Acted for a West End-based family-owned jeweller on reorganisation to effect succession planning. 
  • Advised a property developer on a £3.5 million reorganisation to extract profits tax-efficiently and streamline management. 

Alexander advises on a wide range of commercial agreements, including supply, distribution, licensing, and collaboration contracts. 

Experience

  • Advised the Salisbury Diocesan Board of Education on agency agreements for the refurbishment of schools valued at £39 million. 
  • Advised a UK-headquartered fintech start-up on intragroup service agreements, software development agreements, and software testing and quality assurance agreements. 
  • Advised Coca-Cola and its independent franchisee bottlers throughout India on setting up a joint purchasing corporative for the procurement of inputs for aerated drinks. 
  • Advised on a three-way joint venture for the production and development of anti-ice coatings for the marine industry. 

Alexander specialises in dispute resolution, representing clients in commercial disputes, shareholder conflicts, and contractual claims, and achieving outcomes through litigation, arbitration, or negotiated settlement. 

Experience

  • Represented Royal Bank of Scotland in relation to various investor group claims totalling £4 billion concerning a 2008 rights issue where a consortium of investors claimed that RBS misled them due to alleged inaccuracies in its prospectus concerning its overall financial health at the time of the rights issue. 
  • Acted for the Bank of America in assessing the extent of the Bank’s involvement in colluding to set the benchmark ISDAfix rate used in the sale of interest rate swaps for trades executed in the UK. 
  • Acted for a UK-based sportscar manufacturer in relation to various contractual disputes with suppliers and subcontractors. 
  • Represented an airline owned by the Regional Government of the Azores as the claimant in a contentious dispute. This case arose from the client’s financial and operational restructuring, which included terminating an aircraft lease and subsequent legal complications concerning the distribution of financial obligations. 

Alexander advises on all aspects of competition law, including merger control, anti-competitive agreements, abuse of dominance, and compliance, helping clients navigate complex regulatory frameworks. 

Experience

  • Acted for a FTSE listed tile retailer in relation to an audit to highlight any internal anti-competitive practices. 
  • Acted for ComparetheMarket in relation to an investigation by the CMA on contracts entered into with home insurance providers. 
  • Represented Apollo Tyres in an investigation into an alleged tyre cartel, following findings of the Director General, Competition Commission of India. 
  • Represented Maruti Suzuki Limited in a series of investigations conducted by the Competition Commission of India on the supply and distribution of diagnostic tools, accessories and spare parts in the Indian automobile sector.

  • Acted for a buyer on abortive purchase of a 1994 McLaren F1 chassis #14 offered at USD19m.
  • Acted on the sale of a 1968 Alfa Romeo Tipo 33/2 Stradale (chassis #104) for USD20m.
  • Leveraged industry contacts and expertise to build a personal collection to include the first new Porsche delivered to the Indian sub-continent, purchased unseen.
  • Acted for a buyer on abortive purchase of 1995 McLaren F1 chassis #42 offered at USD17.5m.
